THIS IS A LEGALLY BINDING DOCUMENT;
Terms Of Submission, herein referred to as the (“Agreement”) which is by and between VeryViralVisuals Ltd (“VeryViralVisuals”, “we”) and the undersigned producer/content owner who is registering to the service (“Producer”, “you”, “your”) is effective as of the date time stamped upon signature of this agreement on the registration form. This is the effective date (“Effective Date”). These are Content Licensing terms and conditions, and not a transferral of ownership of your intellectual property.
Note: Your video submission will be sublicensed to our exclusive licensing partner, Enfinity, Inc.
You still retain ownership of all your content, videos, and intellectual property. Nothing will change in how you own or operate your channel or brand pages.
By agreeing to these terms, you are simply allowing VeryViralVisuals to legally promote, re-purpose, scan for, capture, and monetize re-uploads of your content on your behalf in compliance with its third-party content partners, including but not limited to: YouTube/Google.
If VeryViralVisuals does not have exclusive rights to manage your rights, it is impossible to perform these services for you.
The “Content” means (1) the content produced on the client’s social media channels that has been submitted via the Company's content submission forms and associated client pages (2) as well as any other content that we and you agree in writing to include in this Agreement from time to time.
Fees and Payments
VeryViralVisuals will split proceeds that are generated strictly as a result of: television promotion, radio promotion, reality TV show promotion, and brand sponsored deal revenue with the client on the following tiered split:
Up to $190,000 from a promotion: 50% to you, 50% to VeryViralVisuals
Tier-2: $190,001 to $1,900,000 from a promotion: 53% to you, 47% to VeryViralVisuals
Payments are sent out within 45-days of the funds being disbursed to us. If your content generated revenue in January, this revenue will be paid on or around February 28th, provided such payments total in excess of Fifty U.S. Dollars (US $50.00).
You will be responsible for taxes and reporting your revenues in your own respective country.
- The Network ("VeryViralVisuals") reserves the right to withhold or deduct any payments, pending VeryViralVisual's reasonable investigation of any of the foregoing or any breach of this Agreement.
VeryViralVisuals Rights and Licenses
You hereby grant to each of the following exclusive and non-transferable rights:
- The exclusive right and license to use, reproduce, digitize, encode, modify, format, transmit, broadcast, repurpose the Content into its proprietary software and collect revenues from the management of the Content.
- The exclusive right and license to administer content claiming, including without limitation, Content ID claims, and monetization services for the Content across the YouTube platform.
Ownership/Clearances/Warranties
You must have all the necessary rights and clearances in connection with the Content, and you have the legal right to grant the rights to us herein.
You warrant and represent that the Content does not infringe on the rights of any third party or violate YouTube’s Terms of Use, and you agree to defend, indemnify and hold harmless VeryViralVisuals for any and all claims to the contrary.
Other Provisions
You agree to keep the terms of this Agreement confidential.
This Agreement is governed and construed according to California law.
Electronic communication is a sufficient method to notify a party.
You agree to our general Terms and Conditions which may be amended from time to time, including our Terms of Submission and the scope of this agreement: to provide VeryViralVisuals a non-transferable, exclusive, worldwide license to manage and monetize the content submitted by you.
